Terms of Service

These Terms of Service (the "Terms") form a legal agreement between you and Veri5 ("Veri5", "we", "us", "our") governing your access to and use of the Veri5 platform — the website at veri5.app, our user interfaces, APIs, and the proof-of-age services we provide (collectively, the "Service"). By creating an account, completing a verification, purchasing a Pay-As-You-Go check, or otherwise using the Service, you agree to be bound by these Terms.

Plain-English summary. Veri5 lets you prove you're 18+ without revealing your name, date of birth, or documents. We rely on an independent KYC provider (Didit) for the underlying identity check; we keep only a yes/no result of that check. You agree not to misuse the Service, and we agree to provide it as described. If something goes seriously wrong, our liability is capped at what you've paid us in the previous twelve months. Disputes go to the courts of England & Wales. The detail follows below — this summary doesn't replace it.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service you represent and warrant that:

  • You are 18 or older;
  • You have full legal capacity to enter into these Terms;
  • You are not located in, under the control of, or a national or resident of any country subject to UK or EU comprehensive sanctions, and you are not on any UK, EU, UN, or US sanctions list;
  • Your use of the Service does not violate any applicable law in your jurisdiction.

If you are using the Service on behalf of a business or other legal entity (a Business account), you additionally represent that you have authority to bind that entity to these Terms.

2. Your Account

Authentication is provided by our partner Clerk Inc. ("Clerk"). You are responsible for maintaining the security of your sign-in credentials and for all activity that occurs under your account. You agree to notify us promptly at support@veri5.app if you suspect unauthorised access.

You may have at most one account per natural person or legal entity. Creating duplicate accounts to evade subscription fees, sanctions, rate limits, or our enforcement actions is grounds for termination.

3. The Service

The Service enables a verified user (a "User") to generate a short-lived, single-use proof code that another party (typically a "Business") can consume to confirm the User is 18 or older. We do not show the User's identity, date of birth, or documents to the consuming party — only the yes/no outcome of the underlying KYC check, plus an opaque account identifier.

Veri5 also offers a Pay-As-You-Go ("PAYG") flow for one-off, accountless verifications. PAYG checks issue a single proof code following a one-time KYC; they are not subscriptions.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. Where a change is materially adverse to paid users, we will give reasonable notice and offer a pro rata refund of unused subscription fees on request.

4. Subscriptions, PAYG, and Billing

The Service is offered in three forms:

User subscription
Recurring subscription for unlimited proof generation. Billed monthly or annually in advance.
Business subscription
Recurring subscription for proof consumption, dashboard, and revshare features. Billed monthly or annually in advance.
Pay-As-You-Go
One-off charge per single verification check, no recurring billing, no account.

Pricing is shown at point of purchase and may be updated from time to time; the price you saw at checkout is the price you pay for that billing period. Renewals are automatic at the same tier and interval until you cancel.

All payments are processed by Stripe Payments Europe Ltd ("Stripe"). By providing payment details you authorise us, via Stripe, to charge the relevant amounts. Card data is held by Stripe; Veri5 stores only the transaction reference and outcome.

5. Cancellation and Refunds

You may cancel a subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not pro-rate refunds for the unused portion of a billing period except as required by law or where we have caused a material disruption to the Service.

Consumer cooling-off (UK)

Under the Consumer Contracts Regulations 2013, you ordinarily have a 14-day cooling-off period for digital services. By starting a verification or generating your first proof code within that period, you expressly request that the Service begin immediately and acknowledge that you will lose the right to cancel for a refund once it does. This is required for the Service to function (the verification cannot be undone) and is offered to you in the same terms by all comparable providers.

If you have not yet started a verification or generated a proof, you can request a full refund within 14 days by emailing support@veri5.app.

PAYG charges are non-refundable once the underlying KYC check has been initiated, because we incur the third-party KYC cost on your behalf at that moment.

6. Age Verification — Disclaimer of Accuracy

Veri5 is a routing and presentation layer over a third-party regulated KYC provider (currently Didit GmbH, "Didit"). The accuracy of any age determination is constrained by the accuracy of Didit's checks and the documents the user presents to Didit.

To the maximum extent permitted by law, Veri5 does not warrant that any particular verification correctly reflects a user's age, that documents presented are genuine, or that any specific check will detect a fraudulent submission. Businesses relying on a Veri5 proof retain primary responsibility for their own legal obligations regarding age of customers, including but not limited to obligations under UK gambling, alcohol, tobacco, and adult-content laws.

You agree to use the Service as a strong supporting signal — not as the sole basis on which you make any legally significant decision.

7. Business Accounts: Revshare and Payouts

Business accounts may earn revenue share ("Revshare") when (a) a User they verified, who has no prior attribution, becomes attributed to them and pays a User subscription invoice, or (b) another Business signs up using their referral code and pays a Business subscription invoice. The current rate is 25.06% of the qualifying invoice amount, marketed as "25%". Both attribution and referral are single-level only and do not chain through further parties.

Revshare accruals are subject to a 30-day hold from the date of the invoice before becoming payable. Withdrawals require an active Business subscription at the time of payout. If your Business subscription lapses for more than 90 consecutive days without reactivation, all unpaid Revshare accruals are forfeited.

You agree not to attempt to manipulate the attribution or referral system — including by self-attribution, sock-puppet accounts, fake referrals, or any practice intended to extract Revshare without a genuine referral relationship. Doing so is grounds for forfeiture of all accruals and termination of your account.

8. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in immediate suspension or termination.

9. Your Content

You may submit content to the Service — including ratings, comments, profile information, and avatar imagery ("Your Content"). You retain ownership of Your Content. By submitting it, you grant Veri5 a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and transmit Your Content solely as needed to operate and improve the Service.

You represent and warrant that Your Content does not infringe any third-party right, is not unlawful, and complies with the Acceptable Use Policy. We may remove Your Content at our discretion if we believe it breaches these Terms, the AUP, or applicable law.

10. Our Intellectual Property

The Service, including its design, code, branding, trademarks, and content (other than Your Content), is owned by Veri5 or its licensors and is protected by intellectual property laws. We grant you a limited, non-transferable, non-sublicensable, revocable licence to access and use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works from any part of the Service except as expressly permitted by law.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, the AUP, or applicable law, or if continuing to provide the Service to you would expose us to material legal, reputational, or financial risk.

You may terminate by cancelling any active subscriptions and ceasing to use the Service. Termination does not entitle you to a refund except as set out in Section 5.

Sections that by their nature should survive termination — including Sections 6, 7 (final paragraph), 9 (licence to retained content for as long as it remains on the Service), 10, 12, 13, 14, 15, and 16 — survive.

12. Disclaimers

Except as expressly provided in these Terms and to the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

This section does not exclude or limit any warranty or right that cannot lawfully be excluded under the Consumer Rights Act 2015 or other applicable consumer protection law.

13. Limitation of Liability

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by applicable law.

Subject to the above, to the maximum extent permitted by law:

  • Veri5 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, business, or goodwill, however arising;
  • Our total aggregate liability arising out of or in connection with the Service or these Terms in any 12-month period will not exceed the greater of (i) £100, and (ii) the total amount you paid us in fees during that period.

14. Indemnity

You agree to indemnify and hold Veri5 harmless against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of (a) Your Content, (b) your breach of these Terms or the AUP, (c) your violation of any law or third-party right, or (d) your use of the Service in a way not authorised by these Terms.

15. Privacy

Our processing of personal data is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Service you acknowledge our processing as described in those documents.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will give you reasonable advance notice (typically by email or in-app notification) before they take effect. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms. If you do not accept a change, your remedy is to stop using the Service and cancel any active subscription.

17. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers resident in another part of the UK may also bring proceedings in the courts of their place of residence as required by law.

18. Miscellaneous

Entire agreement. These Terms, together with the AUP, Privacy Policy, and Cookie Policy, are the entire agreement between you and Veri5 regarding the Service and supersede any prior agreement.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.

No waiver. Failure to enforce any right under these Terms is not a waiver of that right.

Third-party rights. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
